Terms of Service

Effective Date: September 21, 2026

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR WEBSITES OR SERVICES. BY PURCHASING A SUBSCRIPTION OR ACCESSING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you, on behalf of yourself or an entity (“Customer,” “you,” “your”), and Verdapt (“Verdapt,” “Company,” “we,” “us,” “our”). These Terms govern your access to and use of the Verdapt website at verdapt.com and its subdomains, the Verdapt application at app.verdapt.com, and all related software, features, and services (collectively, the “Services”).

By accessing the Services or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

We reserve the right to update these Terms at any time in our sole discretion. We will notify you of material changes using the contact information on your account. Your continued use of the Services following notice of changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Services, you represent and warrant that you meet these requirements.

3. Description of Services

Verdapt provides an AI-powered voice receptionist platform designed for landscape and outdoor living contractors. The Services include an AI phone assistant, call handling, lead qualification, appointment scheduling, call recording and transcription, and related features as made available from time to time.

Verdapt provides white-glove onboarding. Your account will be configured during a scheduled onboarding call with a Verdapt representative, including your AI assistant, phone number, business hours, service areas, and the services you offer. Onboarding is completed in a single scheduled call. The onboarding call must be scheduled and completed within 7 calendar days of the Customer’s subscription purchase date. If the Customer fails to schedule or complete onboarding within this window, Verdapt reserves the right to consider onboarding forfeited. No refunds will be issued for failure to complete onboarding within the designated window. The subscription billing cycle begins on the purchase date regardless of onboarding status. Ongoing support is provided via designated support channels only. Phone-based support, follow-up onboarding calls, and account management services are not available.

Verdapt is a software-as-a-service product and does not provide agency, consulting, or done-for-you implementation services of any kind. This includes but is not limited to: marketing services, search engine optimization (SEO), website design or development, Google Business Profile management, review management, social media management, paid advertising management, or any other agency-style service. Customers seeking such services should engage with a marketing agency or service provider that offers those services directly.

Implementation of Verdapt across your external platforms is your sole responsibility. This includes but is not limited to: your website, business listings, directory profiles, review platforms, advertising campaigns, social media profiles, print materials, and any other location where your business contact information is displayed.

Verdapt may provide guidance documentation within the customer support knowledge base describing where and how to complete implementation on common platforms. Any such documentation is provided for informational purposes only and does not constitute a service commitment. Verdapt is not responsible for logging into, managing, updating, or otherwise administering any external platform on your behalf.

AI Voice Transcription and Data Capture. Verdapt uses AI-powered voice technology to capture caller information including but not limited to names, addresses, phone numbers, and email addresses. While Verdapt strives for high accuracy, voice-to-text transcription is inherently limited by factors including but not limited to caller accents, background noise, connection quality, unfamiliar proper nouns, and speech patterns. Verdapt does not guarantee the accuracy of information captured from calls and is not liable for missed, incomplete, or inaccurate caller information. Customer is responsible for verifying caller details before scheduled appointments and follow-up communications.

No Guarantee of Lead Volume. Verdapt is a call handling and AI receptionist platform. The Services are designed to handle incoming calls more efficiently, qualify leads, and schedule appointments. Verdapt does not run advertising campaigns, perform search engine optimization, manage your Google Business Profile, or take any action intended to generate new inbound calls. The Services do not increase your online visibility, market reach, or call volume. Any increase or decrease in call volume is solely the result of your own marketing efforts or other external factors. Verdapt makes no representations or guarantees regarding the number of calls you will receive or the business results you will achieve through use of the Services.

4. Subscription, Billing, and Payment

4.1 Plans and Fees

Access to the Services requires a paid subscription. Subscription pricing is based on the plan selected at the time of purchase. Current plan details and pricing are available at verdapt.com/pricing. A one-time onboarding fee may apply at sign-up depending on your plan and account type. This fee is non-refundable under any circumstances.

4.2 Overage Charges

Each plan includes a set number of minutes per billing period. If your usage approaches or exceeds the included minutes, you may purchase credit packs directly through the dashboard to continue receiving calls. Credit packs are available in various sizes and pricing as displayed in the dashboard at the time of purchase, subject to change with notice.

Credit packs may be purchased manually at any time or set to auto-purchase when your remaining minutes drop below a threshold you configure in your account settings. When auto top-off is enabled, you authorize Verdapt to charge your payment method on file for credit packs as they are triggered.

Unused credit pack minutes roll over indefinitely during an active subscription. Upon cancellation or termination of your subscription, any unused credit pack minutes are forfeited and no refund will be issued.

If your monthly minute allotment and any credit pack balance are both depleted and auto top-off is not enabled, the Services will suspend inbound call handling until additional minutes are purchased or your next billing cycle begins. Verdapt is not responsible for missed calls or lost business opportunities resulting from depleted minutes.

Credit pack purchases are non-refundable under any circumstances.

4.3 Billing and Automatic Renewal

Subscriptions are billed on a monthly or annual basis, as selected at the time of purchase. Monthly subscriptions renew each month on the anniversary of your original purchase date. Annual subscriptions renew each year on the anniversary of your original purchase date and are billed upfront for the full annual term.

By subscribing, you authorize Verdapt to charge your payment method on file for all applicable fees, including base subscription fees, credit pack purchases (if auto top-off is enabled), and any other charges associated with your account, on each renewal date without further authorization.

For annual subscriptions, Verdapt will provide advance notice of upcoming renewals via email at 30 days, 7 days, and 1 day prior to the renewal date. Cancellation must be requested prior to the renewal date to avoid being charged for the next annual term.

Verdapt reserves the right to adjust subscription pricing at each renewal cycle. Any price change will be reflected in the renewal notification emails sent prior to renewal. Continued use of the Services following notice of a price change constitutes acceptance of the updated pricing.

4.4 Payment Failure

If any payment fails, your access to the Services will be immediately suspended until payment is resolved. Verdapt reserves the right to terminate your account if payment remains outstanding. You agree to keep your payment information current and accurate at all times.

4.5 Fee Changes

Verdapt reserves the right to modify subscription fees at any time with at least 30 days written notice to the email address on your account. Continued use of the Services after a fee change takes effect constitutes your acceptance of the new pricing.

4.6 Taxes

Verdapt currently collects and remits sales tax in jurisdictions where it is legally required to do so. As the business grows, Verdapt may become subject to sales tax obligations in additional states based on economic nexus thresholds, which vary by state but commonly apply once sales exceed $100,000 or 200 transactions in a given state within a calendar year. In the event Verdapt becomes obligated to collect sales tax in your state, applicable taxes will be added to your subscription charges going forward with reasonable advance notice where practicable. You remain responsible for any taxes applicable to your use of the Services under the laws of your jurisdiction.

4.7 Promotional and Loyalty Pricing

Verdapt may offer discounted subscription rates to customers who maintain an active, paid engagement with an affiliated service provider (“Loyalty Rate”). Loyalty Rate eligibility and pricing are determined by Verdapt at its sole discretion at the time of enrollment.

Loyalty Rate pricing is contingent upon continuous, uninterrupted monthly billing. Customers enrolled at a Loyalty Rate are not eligible to pause, suspend, or skip billing periods for any reason. If the Customer’s engagement with the affiliated service provider is terminated, canceled, or lapses for any reason, the Loyalty Rate will automatically convert to Verdapt’s standard published pricing at the next billing cycle. Verdapt will provide written notice of any such rate change to the email address on the Customer’s account.

Loyalty Rate pricing remains subject to Section 4.5 (Fee Changes) of these Terms.

5. Refund Policy

Except as provided in Section 5.1 (Annual Plan Money-Back Guarantee), all fees paid to Verdapt are non-refundable. No exceptions will be made for any reason, including but not limited to:

  • Partial months of service
  • Unused included minutes
  • Credit pack purchases
  • Cancellation at any point during a billing cycle
  • Dissatisfaction with the Services or AI call handling results
  • Technical issues caused by third-party service providers outside Verdapt’s direct control.
  • Failure to use the Services or complete onboarding
  • Changes in business circumstances

Verdapt does not offer prorated refunds, partial credits, or billing adjustments of any kind. By purchasing a subscription, you acknowledge and accept this no-refund policy in full.

5.1 Annual Plan Money-Back Guarantee

First-time annual subscribers are eligible for a limited money-back guarantee on the annual subscription fee under the following terms:

  1. Guarantee window. Refund requests must be submitted in writing to designated support channel within 14 calendar days of the Customer’s completed onboarding call.
  2. Onboarding value non-refundable. The white-glove onboarding value included in the annual plan is non-refundable regardless of whether a refund is granted, as it reflects labor delivered during setup. The refund amount will equal the annual subscription fee less the applicable onboarding value for the Customer’s plan tier.
  3. First-time subscribers only. The guarantee applies only to Customers whose first subscription with Verdapt is an annual plan. Customers who start on a monthly plan and later switch to annual are not eligible.
  4. Completed onboarding required. Customer must have completed the scheduled onboarding call with a Verdapt representative and had the assigned phone number provisioned and configured. Refund requests submitted prior to onboarding completion are not eligible.
  5. Phone number deployment required. Customer must have deployed the Verdapt-provisioned phone number across their business platforms prior to submitting a refund request. Deployment includes either updating the phone number directly on each platform (including but not limited to business website, Google Business Profile, and any active paid advertising campaigns) or implementing any website-level deployment tools provided by Verdapt during onboarding. In all cases, deployment on Google Business Profile and any active paid advertising campaigns must be completed directly by the Customer. Refund requests from Customers who have not deployed the number as directed during onboarding are not eligible.
  6. Product must have failed to perform as designed. Refund eligibility requires that the Services failed to perform as designed. The Services are considered to have performed as designed when the AI assistant properly identifies itself when asked, handles calls per configured parameters, and either books, transfers, filters, or declines calls according to the Customer’s business rules. Refund requests based on the following are not eligible for refund:
    • Individual caller preferences, including but not limited to callers who declined to interact with an AI assistant, callers who asked for a human, callers who hung up after learning the assistant was AI-generated, or callers who otherwise self-selected out of the AI experience.
    • Seasonal business fluctuations, including but not limited to low call volume during off-season months or slow periods typical of the Customer’s regional market.
    • Low overall lead flow, whether attributable to the Customer’s own marketing, search engine visibility, referral network, advertising spend, business reputatoin, online reviews, or any other factor outside the scope of the Services. The Services do not generate leads or influence business outcomes beyond the handling of inbound calls.
    • Failure to update the assigned phone number across the Customer’s business platforms as required in Section 5 above.
    • Dissatisfaction with call outcomes, appointment conversion rates, or business results attributable to the Customer’s own sales process, follow-through, or business decisions.
    • Technical issues caused by third-party service providers outside Verdapt’s direct control.
  7. Good faith requirement. Refund requests must be submitted in good faith with specific reasons for dissatisfaction related to the performance of the Services. Verdapt reserves the sole discretion to deny refund requests that do not meet these conditions, that are submitted in bad faith, or that are based on factors outside the scope of the Services as defined in Section 3.
  8. Refund processing. Approved refund requests will be processed within 10 business days of approval and issued to the original payment method on file.
  9. Monthly subscriptions. This guarantee applies only to annual subscriptions. Monthly subscriptions remain subject to the Refunds policy set forth in Section 5 of these Terms.

6. Chargebacks and Disputes

Any Customer who initiates a chargeback or payment dispute with their bank or credit card provider after purchasing a subscription will have their account immediately terminated and all Services suspended without notice. Verdapt reserves the right to dispute any chargeback and to pursue collections or legal action for fraudulent dispute claims. Initiating a chargeback does not constitute a valid cancellation of your subscription.

If you believe there is an error in your billing, you must notify Verdapt in writing to designated support channel within 15 days of the charge in question. We will review billing disputes in good faith and respond within 10 business days.

7. Cancellation and Termination

7.1 Customer Cancellation

You may cancel your subscription at any time by contacting Verdapt at designated support channel. Cancellation takes effect at the end of the current billing period. You will retain access to the Services through the end of the paid period. No refunds will be issued for any unused portion of the current billing period.

7.2 Termination by Verdapt

Verdapt reserves the right to suspend or terminate your account immediately and without notice if you:

  • Violate any provision of these Terms
  • Engage in fraudulent, abusive, or unlawful activity
  • Fail to pay any fees when due
  • Use the Services in a manner that causes harm to Verdapt, third parties, or the platform infrastructure

Upon cancellation or termination, any phone number provisioned through the Services will be released and may no longer be available to you. You are solely responsible for updating any business listings, websites, advertising, Google Business Profile, or other materials that reference a Verdapt-provisioned number prior to or following termination.

In the event of account suspension due to non-payment, the provisioned phone number will be retained for a thirty (30) day grace period. During the suspension period, all call handling services including the AI assistant will be disabled and inbound calls to the provisioned number will not be answered. If payment is not resolved within thirty (30) days of suspension, the phone number will be permanently released without further notice. Verdapt is not responsible for any missed calls, lost leads, or business disruption during the suspension period or following number release.

Verdapt does not offer number porting, number transfers, or number ownership of any kind. Phone numbers provisioned through the Services are provided solely for use within the platform during an active subscription and remain the property of Verdapt’s telephony provider. If you choose to use your own phone number from a third-party provider and route calls to a Verdapt-provisioned number, you are solely responsible for maintaining that third-party account, subscription, and any associated costs. Verdapt is not responsible for any disruption to your call handling resulting from the cancellation, expiration, or failure of any third-party telephony, call tracking, or software service you maintain independently, including but not limited to CallRail, WhatConverts, or any similar call tracking or telephony platform. Any additional software costs incurred by you in connection with your use of the Services are your sole responsibility.

7.3 Effect of Termination

Upon termination or cancellation, your right to use the Services ends immediately or at the end of the current billing period, as applicable. Verdapt may retain your account data for up to 180 days following termination, after which it may be permanently deleted. You are responsible for exporting any data you wish to retain prior to termination.

8. Telephony and AI Disclosure

Spam, Robocalls, and Invalid Call Traffic. All inbound calls handled by the Verdapt AI assistant, including spam calls, robocalls, silent calls, and other unwanted or invalid call traffic, consume billable minutes and are charged accordingly. However, Verdapt does not guarantee that all spam or invalid calls will be blocked prior to consuming billable time. Some processing time is required before a call can be identified and terminated, and that time is billable.

By using the Services, you acknowledge that the AI assistant performs the function previously handled by a human receptionist in screening and terminating unwanted calls, that major telephony carriers including but not limited to T-Mobile and Verizon similarly charge for all call minutes regardless of call quality or origin, and that billable minutes consumed by spam or invalid calls are non-refundable.

By enabling call handling features through the Services, you acknowledge and agree that:

  • Calls handled by the AI assistant may be recorded and transcribed for service functionality and quality purposes.
  • You are solely responsible for ensuring compliance with all applicable federal, state, and local laws regarding call recording, including obtaining any required consents from callers prior to recording. Laws vary by jurisdiction and may require one-party or two-party consent.
  • Verdapt’s AI assistant is not a human agent. The performance of the AI assistant may vary and Verdapt makes no guarantees regarding specific call outcomes, lead quality, or appointment conversion rates.
  • Telephony and messaging services rely on third-party providers. Verdapt is not responsible for delays, outages, or failures caused by these third-party providers.
  • AI-generated call transcripts and summaries are produced automatically and may contain errors. You should not rely on transcripts as a complete or legally accurate record of any call.

9. Acceptable Use

You agree to use the Services only for lawful business purposes in accordance with these Terms. You agree not to:

  • Use the Services for personal, consumer, or household purposes
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Use the Services to engage in spam, robocalling, or any unlawful telephony activity
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services in violation of any applicable law, regulation, or third-party right
  • Resell or sublicense the Services to any third party without express written authorization from Verdapt

Verdapt reserves the right to terminate or suspend access to any Customer who violates this section, at its sole discretion and without prior notice.

10. Intellectual Property

All intellectual property rights in the Services, including but not limited to the platform, software, AI models, proprietary configurations, branding, and documentation, remain exclusively with Verdapt or its licensors.

Your business name, call data, and other information you provide to configure the Services remain your property. By using the Services, you grant Verdapt a limited license to use this information solely for the purpose of providing and improving the Services.

Customer hereby grants Verdapt a non-exclusive, worldwide, royalty-free, fully paid-up, perpetual, and irrevocable license to copy, anonymize, de-identify, aggregate, process, and create derivative works of Customer Data for the purposes of: (a) providing and improving the Services; (b) training, fine-tuning, and enhancing AI models used in the Services; (c) developing new features and services; and (d) generating anonymized statistical, usage, and performance data. Verdapt may use such anonymized data for any purpose without restriction, provided that such data cannot be used to identify Customer, Customer’s callers, or Customer’s Users.

Customer additionally grants Verdapt a non-exclusive, worldwide, royalty-free, perpetual license to use call recordings, transcripts, and derived materials for Verdapt’s own marketing, advertising, promotional, and case study purposes, including public display on Verdapt’s website, social media channels, video content, blog posts, email marketing, and paid advertising. Verdapt may use Customer’s business name in such materials unless Customer specifically requests anonymization in writing. Individual caller personal identifying information, including personal names, home addresses, phone numbers, and email addresses, will be redacted or anonymized in publicly published materials.

11. Confidentiality

11.1 Definition

“Confidential Information” means all non-public information disclosed by a party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally or in writing, that is designated as confidential or reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Confidential Information includes Customer Data, business practices, and customer lists. Verdapt Confidential Information includes the Services, proprietary configurations, AI models, training methodologies, pricing terms, and business processes. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was known to the Receiving Party prior to disclosure without breach of any obligation; (c) is received from a third party without breach of any obligation; or (d) was independently developed by the Receiving Party as demonstrated by documentary evidence.

11.2 Protection

The Receiving Party will use the same degree of care to protect the confidentiality of the Disclosing Party’s Confidential Information that it uses to protect its own confidential information of like kind (but not less than reasonable care). The Receiving Party will not use any Confidential Information for any purpose outside the use of the Services and will limit access to Confidential Information to employees and contractors who need such access for purposes consistent with these Terms and who have signed confidentiality agreements containing protections no less stringent than those herein.

11.3 Compelled Disclosure

The Receiving Party may disclose Confidential Information to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance if the Disclosing Party wishes to contest the disclosure.

11.4 Injunctive Relief

Each party acknowledges that unauthorized disclosure of Confidential Information could cause irreparable harm for which monetary damages would be inadequate, and that the non-breaching party is entitled to seek injunctive or equitable relief in addition to any other remedies available at law or in equity.

12. Third-Party Services

The Services integrate with and rely on third-party services and platforms, including telephony providers, AI infrastructure providers, calendar services, and payment processors. Verdapt does not control these third-party services and is not responsible for their availability, performance, or terms of service. Your use of third-party services integrated with Verdapt is subject to the applicable third-party terms and privacy policies.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. VERDAPT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. VERDAPT DOES NOT WARRANT THAT THE AI ASSISTANT WILL ACHIEVE ANY PARTICULAR CALL OUTCOME, LEAD VOLUME, OR BUSINESS RESULT.

YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VERDAPT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF LEADS OR CUSTOMERS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF VERDAPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VERDAPT’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO VERDAPT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE YOUR CLAIM FIRST AROSE.

CUSTOMER ACKNOWLEDGES THAT THE SERVICES UTILIZE ARTIFICIAL INTELLIGENCE TECHNOLOGY TO HANDLE INBOUND TELEPHONE CALLS ON CUSTOMER’S BEHALF. CUSTOMER AGREES THAT VERDAPT SHALL NOT BE HELD LIABLE FOR ANY NEGATIVE ONLINE REVIEWS, CUSTOMER COMPLAINTS, REPUTATIONAL HARM, OR LOSS OF BUSINESS RELATIONSHIPS ARISING FROM OR RELATED TO CALLER INTERACTIONS WITH THE AI SYSTEM, INCLUDING BUT NOT LIMITED TO CALLER DISSATISFACTION WITH AUTOMATED RESPONSES OR ANY MISCOMMUNICATION DURING AI-HANDLED CALLS.

15. Indemnification

You agree to defend, indemnify, and hold harmless Verdapt and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your failure to obtain required consents for call recording; or (e) any claim by a third party arising from your use of the Services or your AI assistant’s handling of calls on your behalf.

16. Uptime and Support

Verdapt targets 99.9% platform uptime, excluding outages caused by third-party carriers, internet service providers, AI infrastructure providers, or force majeure events. Support is provided via designated support channels during business hours, Monday through Friday, 9 AM to 4 PM Eastern Time. Verdapt observes all federally recognized United States holidays and select additional days as determined by Verdapt at its discretion. Support response times may be delayed during holiday periods. The AI assistant itself operates 24/7 regardless of support availability or holidays. Verdapt reserves the right to perform scheduled maintenance with advance notice where reasonably practicable.

17. Arbitration and Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Sarasota County, Florida, in accordance with the rules of the American Arbitration Association. The arbitrator shall apply the laws of the State of Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

BY USING THE SERVICES YOU ARE AGREEING TO RESOLVE ANY DISPUTES THROUGH BINDING ARBITRATION AND WAIVING YOUR RIGHT TO A JURY TRIAL OR CLASS ACTION. IF YOU DO NOT AGREE TO ARBITRATION, YOU MAY NOT USE THE SERVICES.

18. Class Action Waiver

ANY LEGAL ACTION OR ARBITRATION ARISING IN CONNECTION WITH THE SERVICES OR THESE TERMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. YOU MAY NOT JOIN OR CONSOLIDATE CLAIMS WITH OR AGAINST OTHER CUSTOMERS, LITIGATE AS A MEMBER OF A CLASS, OR ACT AS A PRIVATE ATTORNEY GENERAL.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the state and federal courts located in Sarasota County, Florida for any matters not subject to arbitration.

20. Miscellaneous

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions. These Terms constitute the entire agreement between you and Verdapt regarding the Services and supersede all prior agreements. Verdapt’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms may not be assigned by you without Verdapt’s prior written consent. Verdapt may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
